Dow way (08403) announced that on June 3, 2024, the Company intends to allot and issue 4 million shares to the subscriber (Mr. Li Wenjie),
representing approximately 3.23% of the enlarged issued share capital of the Company. The subscription price for each subscription share is HKD 1,
which represents a premium of approximately 20.48% over the closing price of HKD 0.83 per share on June 3.
The estimated total gross proceeds and net proceeds from the subscription will be HKD 4 million and approximately HKD 3.95 million,
respectively, which are intended for the Group’s general working capital.
